By accessing, registering for, or using Lucrido AI ("Platform", "Service"), you ("User", "you") confirm that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy.

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" refers to that organization.

To use Lucrido AI, you must meet the following eligibility requirements:

When you create an account with Lucrido AI, you agree to the following obligations:

• Accurate Information: All registration information must be truthful, accurate, current, and complete.
• Account Security: You are solely responsible for maintaining the confidentiality of your credentials. Do not share your password with anyone.
• One Account Per User: You may not create multiple accounts or use accounts on behalf of others without authorization.
• Prompt Notification: You must notify us immediately at security@lucrido.ai if you suspect unauthorized access to your account.
• Account Responsibility: You are liable for all activities conducted under your account, whether or not authorized by you.

Subject to your compliance with these Terms, Lucrido AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes.

You agree to use Lucrido AI only for lawful purposes and in a manner consistent with all applicable laws and regulations. The following uses are strictly prohibited:

Violation of this policy may result in immediate account suspension, termination, and reporting to relevant authorities.

All rights, title, and interest in and to the Lucrido AI platform — including but not limited to software, design, trademarks, logos, and AI models — are and shall remain the exclusive property of Lucrido AI and its licensors.

Certain features of Lucrido AI require a paid subscription. By selecting a paid plan, you agree to the following billing terms:

• Recurring Billing: Subscriptions are billed automatically on a monthly or annual cycle. Your chosen payment method will be charged at the start of each billing period.
• Price Changes: We may modify pricing with at least 30 days' advance notice. Continued use after the effective date constitutes acceptance of new pricing.
• Refund Policy: Payments are non-refundable unless required by applicable law or specified otherwise at point of purchase.
• Failed Payments: If a payment fails, we may suspend access until payment is resolved. We reserve the right to terminate accounts with prolonged non-payment.
• Taxes: Prices are exclusive of applicable taxes. You are responsible for all applicable sales, VAT, or similar taxes in your jurisdiction.

Lucrido AI provides its Services on an "as is" and "as available" basis without warranties of any kind, express or implied.

To the maximum extent permitted by applicable law, Lucrido AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

• Loss of profits, revenue, data, or business opportunities
• Costs of substitute goods or services
• Damages arising from unauthorized access to or alteration of your data
• Any matter beyond our reasonable control

Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

Either party may terminate these Terms and your access to our Services:

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Lucrido AI is incorporated, without regard to conflict of law principles.

• Informal Resolution: Before initiating formal proceedings, you agree to contact us at legal@lucrido.ai and attempt to resolve the dispute informally for at least 30 days.
• Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration under applicable arbitration rules, rather than in court, except as otherwise provided.
• Class Action Waiver: You waive any right to participate in class-action lawsuits or class-wide arbitration against Lucrido AI.
• Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Send an email notification to your registered address at least 14 days before the changes take effect.
• Display a prominent in-app banner with a summary of key changes.
• Update the "Last Updated" date and version number at the top of this page.

Your continued use of Lucrido AI after the effective date of revised Terms constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Services and delete your account.

• Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Lucrido AI.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
• No Waiver: Failure to enforce any provision shall not constitute a waiver of our right to do so in the future.
• Assignment: You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger or acquisition.
• Force Majeure: We shall not be liable for failure to perform due to causes beyond our reasonable control, including natural disasters, government actions, or infrastructure outages.
